Terms of Service

These Terms of Service ("Terms") govern your access to and use of ChangeGuard+ (the "Service"), operated by ChangeGuard+. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

ChangeGuard+ is a shared financial relationship management tool for freelancers, agencies, businesses, and any two parties exchanging money. The Service lets users:

• Create agreements with a counterparty.
• Record charges, payments, and other transaction entries in those agreements.
• Request approval from a counterparty for changes to an agreement or for individual transactions.
• View a portfolio of active and archived agreements.

ChangeGuard+ is a record-keeping tool. It does not process, hold, transfer, or facilitate actual payments between users. Any payment between users occurs outside the Service, using a method of their choosing.

2. Accounts

Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@change-guard.com if you believe your account has been accessed without your authorization.

Accurate information

You agree to provide accurate information when creating an account and to keep it current.

3. Acceptable Use

You agree not to:

• Use the Service for any purpose that is unlawful or prohibited by these Terms.
• Use the Service to harass, defraud, or harm another person.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or the systems or networks connected to the Service.
• Interfere with or disrupt the Service or its infrastructure.
• Upload or transmit any malicious code, virus, or harmful content.
• Scrape, harvest, or bulk-collect information about other users.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Use the Service in any way that violates applicable law, including laws about financial record-keeping, tax reporting, and data protection.

4. Your Content

You retain ownership of the content you create or upload to the Service, including agreement titles, descriptions, and transaction records ("Your Content").

By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you and to any counterparty you share an agreement with.

You are solely responsible for Your Content and for ensuring it does not violate any law or the rights of any third party.

5. Counterparty Relationships

When you create an agreement and invite a counterparty, or when you are invited as a counterparty, certain information about you and the agreement is shared between the parties. Specifically:

• The agreement's title, description, amount, and transaction history are visible to both the creator and the counterparty.
• Your name and email address are visible to the other party as part of the agreement record.
• Actions you take (approving or rejecting a transaction, for example) are visible to the other party.

You are responsible for the accuracy of any information you enter about a counterparty. Do not enter information about another person that you do not have the right to share.

6. Account Deletion

You can delete your account at any time.

From the app

Open Settings, scroll to the Danger Zone, and tap Delete Account. Confirm with your password.

From the website

If you no longer have the app, you can delete your account here:

What happens on deletion

• Your account and the agreements you created are permanently deleted.
• The transactions in those agreements are permanently deleted.
• Agreements where you were a counterparty (created by another user) are not deleted. They belong to the other participant's record. Your participation in them ends.
• A confirmation email is sent to your address.

Deletion is permanent and cannot be undone.

7. Subscription and Fees

The Service offers a free tier and may offer paid subscription tiers. If you subscribe to a paid tier:

• Fees are charged in advance on a recurring basis, as described at the point of purchase.
• Subscriptions renew automatically unless you cancel before the renewal date.
• Refunds are handled according to the policies of the platform through which you purchased the subscription (Apple App Store, Google Play Store, or our website, as applicable).

8. Third-Party Services

The Service relies on third-party providers for functions such as email delivery. We are not responsible for the availability or performance of those third-party services.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. You use the Service at your own risk.

ChangeGuard+ is not a substitute for professional legal, tax, or accounting advice. Any agreement or transaction you record through the Service is your own record-keeping decision, not a legally binding contract created or enforced by us.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ChangeGuard+ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ChangeGuard+ and its officers, directors, employees, and agents from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of another person.

12. Termination

You may stop using the Service at any time and delete your account as described in section 6.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. Where reasonably possible, we will give you notice before terminating access for a violation.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. Continued use of the Service after a change means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which ChangeGuard+ is established, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of that jurisdiction.
